TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing, browsing, or using the services provided by BotEngine Flow ("BotEngine Flow," "we," "us," or "our"), you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and BotEngine Flow.

If you do not agree to these Terms, you must immediately discontinue use of our services. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and references to "you" shall refer to such entity.

By continuing to use our services after any modifications to these Terms, you accept and agree to the updated Terms.

2. SERVICE DESCRIPTION

BotEngine Flow provides automated workflow systems that convert conversations into actionable outcomes. Our services include, but are not limited to:

Workflow Automation Builder: Tools and platforms that enable users to create, customize, and deploy automated workflows designed to streamline business processes and enhance operational efficiency.

Conversation-to-Conversion Flows: Intelligent systems that analyze, interpret, and transform conversational interactions into measurable business outcomes, including lead generation, customer engagement, and sales conversions.

CRM & Tool Integrations: Integration services that connect our automated workflow systems with customer relationship management (CRM) platforms, third-party applications, and business tools to create seamless data flow and operational cohesion.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of our services without liability.

Service availability may vary based on your subscription level, geographic location, and technical requirements. We do not guarantee uninterrupted or error-free service operation.

3. USER OBLIGATIONS

As a user of BotEngine Flow services, you agree to:

Provide accurate, current, and complete information during registration and maintain the accuracy of such information throughout your use of our services.

Maintain the confidentiality and security of your account credentials, including usernames and passwords, and accept responsibility for all activities that occur under your account.

Use our services only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations.

Refrain from using our services to transmit, distribute, or store material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

Not attempt to gain unauthorized access to our systems, networks, or data, or interfere with the proper functioning of our services.

Not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of our proprietary technology.

Not use automated means, including bots, scrapers, or spiders, to access our services without our express written permission.

Not resell, redistribute, or sublicense our services without our prior written consent.

Comply with any additional guidelines, policies, or rules applicable to specific services that we may publish from time to time.

Failure to comply with these obligations may result in immediate suspension or termination of your account and access to our services, without refund or liability to BotEngine Flow.

4. APPOINTMENT SCHEDULING AND CANCELLATIONS

For consultation sessions, onboarding meetings, training sessions, or technical support appointments:

Scheduling: Appointments must be scheduled through our designated scheduling system or by contacting us directly at Olivia.Harper@botengineflow.co. We will make reasonable efforts to accommodate your preferred time, subject to availability.

Confirmation: You will receive confirmation of your scheduled appointment via email. It is your responsibility to ensure that the contact information you provide is accurate and current.

Cancellations and Rescheduling: If you need to cancel or reschedule an appointment, you must provide at least 24 hours advance notice by contacting us at Olivia.Harper@botengineflow.co. Failure to provide adequate notice may result in forfeiture of the appointment time or assessment of a cancellation fee, as applicable to your service agreement.

No-Show Policy: If you fail to attend a scheduled appointment without prior notice, it may be considered a no-show. Repeated no-shows may affect your ability to schedule future appointments and may result in additional fees.

Our Cancellations: We reserve the right to cancel or reschedule appointments due to unforeseen circumstances, technical issues, or staff availability. We will make reasonable efforts to notify you promptly and offer alternative arrangements.

5. PAYMENT TERMS

Fees: You agree to pay all fees associated with your selected service plan or package as presented at the time of purchase. All fees are quoted in United States Dollars unless otherwise specified.

Payment Methods: We accept payment through designated payment processors and methods as indicated during the checkout process. You authorize us to charge your designated payment method for all fees incurred.

Subscription Services: For subscription-based services, you will be billed automatically on a recurring basis according to your selected billing cycle (monthly, quarterly, or annually) until you cancel your subscription. You are responsible for maintaining current payment information.

Price Changes: We reserve the right to modify our pricing at any time. Price changes will not affect your current billing cycle but will apply to subsequent renewal periods. We will provide reasonable notice of price changes before they take effect.

Late Payment: If payment is not received by the due date, we may suspend or terminate your access to services. Late payments may be subject to interest charges at a rate of 1.5 percent per month or the maximum rate permitted by law, whichever is lower.

Refunds: Refund eligibility is determined on a case-by-case basis and depends on the specific services purchased and circumstances of the request. Setup fees, integration fees, and custom development work are generally non-refundable. Subscription fees are non-refundable except as required by applicable law or as expressly stated in a separate agreement.

Taxes: All fees are exclusive of applicable taxes, duties, or similar governmental charges. You are responsible for payment of all such taxes except those based on our net income.

Disputed Charges: If you believe you have been billed incorrectly, you must contact us within 30 days of the charge appearing on your statement. Failure to notify us within this timeframe constitutes acceptance of the charge.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law:

BotEngine Flow, its officers, directors, employees, agents, affiliates, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

(a) Your access to, use of, or inability to access or use our services;

(b) Any conduct or content of any third party using our services;

(c) Any content obtained from our services;

(d) Unauthorized access, use, or alteration of your transmissions or content;

(e) Integration failures, data synchronization errors, or incompatibilities with third-party systems;

(f) Business losses, lost conversions, or missed opportunities resulting from service interruptions or system errors.

Our total aggregate liability arising out of or relating to these Terms or your use of our services shall not exceed the amount you paid to BotEngine Flow in the twelve (12) months preceding the event giving rise to the liability, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.

You acknowledge that the fees charged by BotEngine Flow reflect this allocation of risk and the limitations of liability specified herein.

7. WARRANTY DISCLAIMERS

BotEngine Flow services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Any warranties that our services will meet your requirements, be uninterrupted, timely, secure, or error-free.

Any warranties regarding the accuracy, reliability, or completeness of content, information, or results obtained through our services.

Any warranties concerning the integration or compatibility of our services with third-party platforms, CRM systems, or tools.

We do not warrant that our services will be free from viruses, malware, or other harmful components.

We do not guarantee specific conversion rates, revenue increases, or business outcomes resulting from use of our workflow automation or conversation-to-conversion systems. Results may vary based on numerous factors outside our control, including but not limited to market conditions, implementation quality, and user engagement.

Any content, materials, or information downloaded or otherwise obtained through our services is accessed at your own risk, and you are solely responsible for any damage to your computer system or loss of data that results from such access.

No advice or information, whether oral or written, obtained by you from BotEngine Flow or through our services shall create any warranty not expressly stated in these Terms.

8. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of these Terms, shall be resolved through the following process:

Informal Resolution: Prior to initiating formal proceedings, you agree to contact us at Olivia.Harper@botengineflow.co to attempt to resolve the dispute informally. We commit to working with you in good faith to reach a mutually acceptable resolution.

Binding Arbitration: If the dispute cannot be resolved informally within thirty (30) days, either party may initiate binding arbitration. The arbitration shall be conducted by a single arbitrator in accordance with the rules of a mutually agreed-upon arbitration organization. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Class Action Waiver: You agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class, consolidated, or representative action.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Venue: If for any reason arbitration does not proceed or is found inapplicable, you agree that any litigation shall be filed exclusively in courts located in the jurisdiction where BotEngine Flow maintains its principal place of business, and you consent to personal jurisdiction in such courts.

9. INTELLECTUAL PROPERTY RIGHTS

Ownership: All intellectual property rights in and to BotEngine Flow services, including but not limited to software, algorithms, workflows, templates, user interfaces, designs, logos, trademarks, documentation, and content created by BotEngine Flow, are and shall remain the exclusive property of BotEngine Flow and its licensors.

Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our services solely for your internal business purposes.

User Content: You retain ownership of any data, content, or materials you submit, upload, or create through our services ("User Content"). By submitting User Content, you grant BotEngine Flow a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, and process such content solely to provide and improve our services.

Feedback: If you provide suggestions, ideas, enhancement requests, or other feedback regarding our services, we may use such feedback without obligation or compensation to you.

Restrictions: You may not copy, modify, distribute, sell, lease, or create derivative works based on our services or any portion thereof without our express written permission.

10. DATA PRIVACY AND SECURITY

Data Collection: We collect and process personal information and business data as necessary to provide our services. Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Security: We implement commercially reasonable technical and organizational measures designed to protect your data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

Third-Party Integrations: Our services integrate with third-party platforms and tools. Your use of such integrations is subject to the terms and privacy policies of those third-party providers. We are not responsible for the privacy practices or content of third-party services.

Data Backup: While we implement backup procedures, you are responsible for maintaining your own backup copies of critical data. We shall not be liable for any loss or corruption of data.

Data Retention: We retain your data for as long as your account is active or as needed to provide services. Upon termination, we may retain certain data as required by law or for legitimate business purposes.
